Terms of Service

1. Acceptance of Terms

By installing, accessing, or using Relay (“Service”), operated by Veritel Inc. (“we,” “our,” or “us”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Relay is an AI-powered SMS recovery tool for Shopify stores. The Service automatically sends conversational text messages to customers who abandon their shopping carts, using artificial intelligence to engage in personalized conversations aimed at recovering lost sales.

3. Account and Registration

To use Relay, you must have an active Shopify store and install our application from the Shopify App Store. You are responsible for maintaining the security of your account and for all activities that occur under your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Send messages to customers who have not provided consent via your Shopify store
• Use the Service to send spam, unsolicited messages, or marketing communications unrelated to abandoned cart recovery
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Share your account credentials with unauthorized third parties

5. SMS Compliance

You are responsible for ensuring that your Shopify store properly collects customer consent for SMS communications as required by the Telephone Consumer Protection Act (TCPA) and all applicable laws. Relay provides tools to help maintain compliance, but ultimate responsibility for consent collection lies with you, the merchant.

All SMS messages sent through Relay include opt-out instructions. Customers who reply STOP are immediately removed from future messaging.

6. AI-Generated Content

Relay uses artificial intelligence to generate SMS messages on behalf of your store. While we strive for accuracy, AI-generated content may occasionally contain errors. You acknowledge that:

• AI responses are generated based on your product data and store policies
• You are responsible for ensuring your product data and policies are accurate and up-to-date
• We do not guarantee that every AI-generated message will be perfectly accurate
• You should monitor conversations and report any issues promptly

7. Pricing and Payment

Relay's pricing is based on recovered revenue. Current pricing details are available in the Shopify App Store listing and within the application dashboard. We reserve the right to change pricing with 30 days' notice. You will not be charged for carts that are not recovered.

8. Intellectual Property

The Service, including its algorithms, software, design, and content, is owned by Veritel Inc. and is protected by intellectual property laws. You retain ownership of your store data and product information. By using the Service, you grant us a limited license to use your store data solely to operate and improve the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERITEL INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Termination

You may terminate your use of the Service at any time by uninstalling the Shopify app. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, your data will be handled in accordance with our Privacy Policy.

12. Indemnification

You agree to indemnify and hold harmless Veritel Inc. and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting updated Terms and updating the date at the top of this page. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.
